These Terms govern your use of the Doodex website, services and the Odoo implementation, consulting, integration, customization, training and support engagements we deliver to clients worldwide.

Acceptance of Terms
By accessing the Doodex website at doodex.net, requesting a quote, signing an engagement letter, or otherwise engaging with Doodex services, you ("Client", "you") agree to be bound by these Terms of Service ("Terms").
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree, you must not use our services.
These Terms apply alongside any signed Statement of Work ("SOW"), Master Services Agreement ("MSA"), or written quotation; in case of conflict, the signed SOW or MSA prevails for that engagement.
Services Provided
Doodex provides professional services around the Odoo ERP platform, including but not limited to:
- Consulting and business audit — discovery, gap analysis, solution architecture and roadmap.
- Implementation — module configuration, data migration, integration and go-live preparation.
- Customization and development — custom modules, workflows, reports and Odoo Studio configuration.
- Integration — connecting Odoo with third-party tools, APIs and external systems.
- Training — onboarding, key-user enablement and end-user training (remote or on-site).
- Support and maintenance — post go-live support, bug fixes, upgrades and long-term optimization.
The exact scope of services for each engagement is defined in the signed SOW or quotation. Anything outside that scope is treated as a change request and may require additional fees and a revised timeline.
Eligibility and Client Account
Doodex services are intended for use by businesses and legal entities. By engaging Doodex, you confirm that:
- You are at least 18 years old (or the age of majority in your jurisdiction) and have full legal capacity.
- You are authorized to bind the company on whose behalf the engagement is made.
- The information you provide is accurate, complete and up to date.
- You will keep credentials, access tokens and account information confidential, and notify Doodex immediately of any unauthorized access.
You are responsible for all activity that occurs under your account or credentials when using Doodex-hosted resources, project portals, or shared workspaces.
Client Responsibilities
To allow Doodex to deliver services on time and within budget, the Client agrees to:
- Designate a single project sponsor and a key-user contact for each functional area in scope.
- Provide timely access to relevant data, documents, source systems and stakeholders.
- Review and validate deliverables within the timeframe agreed in the SOW.
- Make project decisions in a timely manner and respect the agreed governance.
- Ensure that the Client's legacy data, when migrated, is lawful, complete and reasonably structured.
- Maintain valid Odoo subscriptions and the hosting environment required to run the implementation.
Fees, Payment and Invoicing
Fees, billing model, payment schedule and currency are specified in the SOW or quotation. Unless otherwise stated:
- Invoices are issued in line with the agreed milestones, monthly retainer schedule, or hourly time sheets.
- Payment is due within fifteen (15) calendar days from the invoice date, unless a different term is stated in the SOW.
- All fees are exclusive of applicable taxes (VAT, PPN, withholding tax, etc.), which are borne by the Client unless otherwise stated.
- Travel, accommodation and reasonable out-of-pocket expenses, when applicable, are invoiced at cost and require prior approval.
- Late payments may incur interest at the maximum rate allowed by law and may result in suspension of services.
Fees already invoiced and work already performed are non-refundable, except where required by mandatory law.
Intellectual Property
Each party retains ownership of its pre-existing intellectual property ("Background IP").
- Doodex Background IP — methodologies, templates, internal tooling, frameworks, training material, and any code, library or component developed by Doodex independently of the engagement.
- Client Background IP — Client data, content, trademarks and any pre-existing systems.
- Custom developments — code and configurations specifically developed for the Client under the SOW are licensed to the Client under a perpetual, non-exclusive, worldwide license for internal business use, upon full payment of the related fees.
The Odoo software itself is licensed by Odoo S.A. under its own license terms (LGPLv3 for the Community edition; the OEEL license for the Enterprise edition). Nothing in these Terms transfers ownership of the Odoo software to the Client.
Confidentiality
During the engagement, both parties may receive information of a confidential nature ("Confidential Information"), including business data, financial information, processes, source code, customer lists and strategy.
Each party agrees to:
- Use Confidential Information solely for the purpose of the engagement.
- Protect it with the same degree of care it uses for its own confidential information, and no less than reasonable care.
- Disclose it only to employees, contractors and advisors who need to know and who are bound by similar confidentiality obligations.
- Not disclose Confidential Information to any third party without prior written consent, except where required by law.
Confidentiality obligations survive the termination of the engagement for a period of three (3) years, or longer where required by applicable law.
Data Protection and Privacy
Doodex respects the privacy of its clients and the personal data it processes. In the context of an engagement, Doodex may act as a data processor on behalf of the Client (the data controller), depending on the nature of the work.
- Both parties agree to comply with applicable data protection laws (including, where applicable, the EU GDPR and the Indonesian Personal Data Protection Law).
- Doodex will only process personal data in accordance with the Client's documented instructions and the purposes of the engagement.
- Doodex implements reasonable technical and organizational measures to protect personal data against unauthorized access, loss or disclosure.
- Sub-processors (e.g., hosting providers, communication tools) may be used and will be subject to confidentiality obligations.
- Upon termination, Doodex will return or delete personal data at the Client's reasonable request, except where retention is required by law.
Use of the Doodex website is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Warranties and Disclaimers
Doodex warrants that its services will be performed in a professional and workmanlike manner, using qualified personnel and consistent with the standards generally applied in the Odoo consulting industry.
Except for the express warranties stated above, the services and any deliverables are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Doodex disclaims all other warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Doodex does not warrant that the services or deliverables will:
- Operate without interruption or be entirely error-free;
- Meet every Client requirement not explicitly stated in the SOW;
- Be compatible with every existing third-party system without additional configuration or development.
Limitation of Liability
To the maximum extent permitted by applicable law:
- Neither party shall be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or loss of goodwill.
- The aggregate liability of Doodex arising out of or in connection with an engagement shall not exceed the total amount of fees actually paid by the Client to Doodex under the relevant SOW during the twelve (12) months preceding the event giving rise to the claim.
The limitations of liability do not apply to: (i) breaches of confidentiality, (ii) infringement of intellectual property rights, (iii) gross negligence or willful misconduct, or (iv) any liability that cannot be limited under applicable law.
Third-Party Services and Odoo Software
Doodex services are built around the Odoo platform, which is developed and licensed by Odoo S.A. The Odoo subscription, license, hosting (Odoo Online, Odoo.sh, or on-premise) and related Odoo terms are agreed directly between the Client and Odoo S.A. or its authorized resellers.
Engagements may also involve other third-party tools, APIs, plugins, payment gateways or hosting providers. The Client is responsible for the terms, licenses and fees of any third-party service used in connection with the project.
Doodex is not responsible for outages, defects, security incidents, pricing changes or discontinuation of any third-party service outside Doodex's reasonable control.
Suspension and Termination
Either party may terminate an engagement for material breach if the other party fails to cure the breach within thirty (30) days after receiving written notice describing the breach in reasonable detail.
Doodex may suspend or terminate services immediately if the Client:
- Fails to pay undisputed invoices within thirty (30) days of the due date;
- Uses the services in a way that is unlawful, abusive or that endangers Doodex personnel or systems;
- Becomes insolvent, files for bankruptcy or undergoes equivalent proceedings.
Upon termination, the Client shall pay for all services rendered up to the termination date. Sections that by their nature should survive termination (Intellectual Property, Confidentiality, Limitation of Liability, Governing Law, etc.) will survive.
Changes to These Terms
Doodex may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The updated version will be posted on this page with a new "Last Updated" date.
For active engagements, material changes will be communicated to the Client through the usual contact channels. Continued use of Doodex services after the new effective date constitutes acceptance of the updated Terms.
If a Client does not agree with a material change, the Client should contact Doodex within fifteen (15) days of the update; in such case, the previous version of these Terms will continue to apply to the ongoing engagement until its natural conclusion or until otherwise agreed in writing.
Governing Law and Disputes
These Terms and any engagement governed by them are subject to the laws of the Republic of Indonesia, without regard to its conflict-of-law principles.
The parties will first attempt to resolve any dispute amicably through good-faith negotiations between authorized representatives of each party.
If a dispute cannot be resolved within sixty (60) days, it shall be submitted to the exclusive jurisdiction of the competent courts located in Jakarta, Indonesia, unless the parties expressly agree, in writing, to refer the dispute to binding arbitration under the rules of a mutually accepted arbitration body.
Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from any competent court to protect its intellectual property or confidential information.
